  • Advice on cases related to capitalization strategy including retroactive corrections of securities report and going private (MBO) for Tachihi Enterprise Co., Ltd. (listed on the second section of the Tokyo Stock Exchange) and New Tachikawa Aircraft Co., Ltd. (listed on the second section of the Tokyo Stock Exchange) (companies side) (2010-2012)
  • Advising on the provision of an independent opinion, setting-up the third party committees and other related matters as required under the rules of securities exchanges in relation to the third-party allotment of stocks and stock acquisition rights (2010-2011)
  • Represented the syndicate of banks in Germany in respect of the rescue finance transaction to the German real estate company and specifically advised on the arrangement of the security over the assets owned by the German company and its Japanese subsidiary (2009-2010)
  • Represented the company listed on the first section of the Tokyo Stock Exchange in connection with the refinancing transaction and group reorganization and engaged in the negotiation with group of the banks. Rendered also the advices on the disposition of real estate owned by the company (2009)

  • Advising on international finance and secured transaction including financing arrangement to import crude-oil to Japan from Iran and finance transaction to the wind-generated power company (2007-)
  • Advising on the cross-border financial transaction including TMK loans and syndicated loans to the American financial institutions (as an employee at Haynes and Boone, LLP) (2007)
  • Also specialized in securitization of real estate, loan receivables, etc., drafting cross-border trades, and advising for a foreign company on registration for a financial instrument firm under the Financial Instruments and Exchange Law of Japan, and other finance and cross-border matters.
